1. Acceptance of Terms

By accessing, browsing, or purchasing from ia2ai.ai ("the Site"), you ("the Buyer," "you," "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using this site or purchasing any products.

These Terms constitute a legally binding agreement between you and ia2ai ("we," "us," "our," "the Company").

2. Products and Services

2.1 Nature of Products

ia2ai sells digital products including but not limited to:

• AI automation skill files (".skill" files) for use with OpenClaw and compatible AI platforms
• Universal AI Guide PDFs — instructional documents for configuring AI assistants
• Product bundles containing multiple digital files
• Done-For-You (DFY) setup and consulting services
• Educational course materials

2.2 AI Technology Disclaimer

• No guarantee of results. AI systems may produce unexpected, incorrect, incomplete, or inconsistent outputs. Results may vary significantly based on your specific configuration, AI model, provider, and use case.
• AI can make mistakes. AI assistants may generate incorrect information, fail to complete tasks, misinterpret instructions, or behave unpredictably. You are solely responsible for reviewing and verifying all AI-generated outputs before acting on them.
• Technology changes rapidly. AI platforms, APIs, models, and capabilities change frequently. Products that work today may require updates, modifications, or reconfiguration as underlying AI technology evolves. We are not obligated to provide updates.
• Third-party dependencies. Our products rely on third-party AI services (including but not limited to OpenAI, Anthropic, Google, OpenClaw, and others). We have no control over these services and are not responsible for their availability, pricing changes, API changes, terms of service changes, or discontinuation.
• API costs are your responsibility. Using AI products typically requires paid API subscriptions with third-party AI providers. These costs are separate from and in addition to the purchase price of our products. We make no representations about what these costs will be.
• Technical knowledge may be required. While our products are designed to be accessible, some technical proficiency may be necessary for installation, configuration, and troubleshooting.

3. All Sales Are Final — No Refunds

Due to the digital nature of our products, all purchases are non-refundable. Once a digital product has been delivered (download link provided), the sale is complete and final. This applies to:

• Individual skill files and PDF guides
• Product bundles
• Course materials
• Done-For-You services once work has commenced

By completing your purchase, you expressly acknowledge that:

• You are purchasing a digital product "as is"
• You waive any right to a refund, chargeback, or reimbursement
• You have read and understood the AI Technology Disclaimer above
• You accept all risks associated with using AI-based products

Initiating a chargeback or payment dispute after receiving the product constitutes a breach of these Terms and may result in permanent account suspension, revocation of all licenses, and pursuit of any available legal remedies including recovery of costs and damages.

4. License and Permitted Use

4.1 License Grant

Upon purchase, you are granted a non-exclusive, non-transferable, single-user license to use the purchased product for your personal or business use.

4.2 Restrictions

You may NOT:

• Redistribute, share, resell, sublicense, or give away the product to any third party
• Post the product publicly on any website, forum, file-sharing service, or social media platform
• Modify the product for the purpose of resale or redistribution
• Use the product to create a competing product or service
• Remove or alter any proprietary notices, watermarks, or identification embedded in the product
• Claim authorship or ownership of the product or its contents

4.3 Enforcement

Violation of the license terms may result in immediate termination of your license, legal action for copyright infringement, and pursuit of damages including lost revenue and attorney's fees.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• ia2ai, its owners, operators, employees, agents, and affiliates shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, revenue, or goodwill.
• Our total aggregate liability for any claim arising from or related to your use of our products shall not exceed the amount you paid for the specific product giving rise to the claim.
• We are NOT liable for any damages, losses, or costs arising from: AI errors or malfunctions; third-party service outages or changes; data loss; security breaches in your environment; misuse or misconfiguration of products; or any reliance on AI-generated outputs.
• All products are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, and non-infringement.

6. Indemnification

You agree to indemnify, defend, and hold harmless ia2ai, its owners, operators, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from or related to: your use of our products; your violation of these Terms; your violation of any third-party rights; or any content or data you process using our products.

7. Dispute Resolution

Any dispute, claim, or controversy arising from or relating to these Terms or the purchase and use of our products shall be resolved through binding arbitration administered under the rules of the American Arbitration Association. The arbitration shall take place in Los Angeles County, California. The arbitrator's decision shall be final and binding.

You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.

This agreement shall be governed by the laws of the State of California, without regard to its conflict of law provisions.

8. Intellectual Property

All products, content, code, documentation, designs, and materials available on ia2ai.ai are the intellectual property of ia2ai and are protected by copyright, trademark, and other intellectual property laws. Your purchase grants you a license to use the product — it does not transfer ownership of any intellectual property.

9. Privacy and Data

We collect your name, email address, and phone number during the checkout process. This information is used solely for: order fulfillment, customer support, and communicating with you about product updates or related offerings. We do not sell your personal information to third parties.

Payment processing is handled by Stripe, Inc. We do not store your credit card information. Please review Stripe's Privacy Policy for information about how they handle your payment data.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes become effective immediately upon posting to this page. Your continued use of the Site or products after changes constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

12. Entire Agreement

These Terms, together with any referenced policies, constitute the entire agreement between you and ia2ai regarding your use of the Site and purchase of products, and supersede all prior agreements, representations, and understandings.
